What is a trade secret?
The term “Trade secrets” is often misunderstood. Many people assume that a trade secret would need to be a secret formula like the formula for Coca-Cola. In fact, the law has a much broader definition than that. The South Carolina Trade Secrets Act (“SCTSA”) defines a trade secret as “information including… a formula, pattern, compilation, program, device, method, technique, product, system, or process, design, prototype, procedure, or code that (i) derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by the public or any other person who can obtain economic value from its disclosure or use, and (ii) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.” Similarly, federal law defines a trade secret under the Defend Trade Secrets Act (“DTSA”) to include confidential information that derives independent economic value for its owner and the owner has been reasonably protected.
Both the South Carolina Trade Secrets Act and the federal Defend Trade Secrets Act prohibit the misappropriation of trade secrets.
